The One Question Every Independent Director Must Ask Before Board Approval

A director's statutory duty is not to maintain harmony in the boardroom. It is to ensure that transactions stand up to external regulatory scrutiny.

Under Section 149 of Companies Act and SEBI LODR, an Independent Director can no longer defend actions by citing reliance on executive management.

When an inquiry begins, regulators ask what questions you asked, what documents you demanded, and what was recorded in the minutes.

During my 28+ years in managing board proceedings for listed entities and leading secretarial audits, I observed a consistent pattern.

The most respected independent directors are not the ones who ask fifty questions.

They are the ones who ask the single decisive question before an agenda item is approved.

They ask: "If this transaction is challenged before the courts three years from now, what contemporaneous evidence will prove we exercised due care today?"

That one question transforms casual boardroom approval into rigorous governance.

Here are three practical checks independent directors should insist upon before clearing complex agenda items:

1️⃣ Request the independent valuation summary or technical diligence report well ahead of the scheduled meeting.

2️⃣ Confirm that any dissent or clarifying condition is recorded in the draft minutes before signing off.

3️⃣ Never approve related party agreements where the commercial necessity to the company is not clearly articulated in writing.

Governance is not about restricting business growth. It is about ensuring that growth rests on an unshakeable statutory foundation.

What is the most critical question your board members ask when evaluating complex transactions?
