📢 NSE Tightens the Screws on UPSI Handling - Here's what Every Listed Company needs to hear

SEBI's insider trading framework has evolved from a reactive enforcement tool into a proactive governance discipline. This latest NSE Circular (Ref: NSE/CML/2026/19 dated August 07, 2026) is a textbook example of that shift.
On the surface, it reads as "suggested best practices." Read between the lines, and it's NSE signaling that the days of loosely maintained UPSI records are numbered.
𝗪𝗵𝗮𝘁 𝘁𝗵𝗲 𝗖𝗶𝗿𝗰𝘂𝗹𝗮𝗿 𝗔𝘀𝗸𝘀 𝗙𝗼𝗿:
1️⃣ A structured digital database — not just of UPSI itself, but of who shared it and who received it, tracked by name and PAN (or equivalent identifier). This extends to intermediaries and fiduciaries too.
2️⃣ Living, breathing internal policies — reviewed periodically, not filed away and forgotten after the first board approval.
3️⃣ Regular training for employees and fiduciaries — compliance can't rest on a once-a-year circular sent to inboxes.
4️⃣ Genuine operationalization of the Code of Conduct — not a document that exists only for audit season.
5️⃣ A catch-all nudge to go beyond the minimum wherever necessary.
𝗠𝘆 𝗧𝗮𝗸𝗲:
The phrase "in light of observations made in certain cases" is doing a lot of quiet work in this circular. It tells us NSE has seen gaps — likely around UPSI trails that couldn't be reconstructed when it mattered, structured digital databases (SDDs) maintained more in form than in substance, and training that exists on paper but not in practice.
For listed companies, this is a nudge to self-audit before it becomes an inspection finding. In my experience, the companies that get caught out aren't the ones without a policy — they're the ones whose policy and practice have quietly drifted apart.
𝗔𝗰𝘁𝗶𝗼𝗻 𝗣𝗼𝗶𝗻𝘁𝘀 𝗳𝗼𝗿 𝗖𝗼𝗺𝗽𝗹𝗶𝗮𝗻𝗰𝗲 𝗢𝗳𝗳𝗶𝗰𝗲𝗿𝘀 & 𝗕𝗼𝗮𝗿𝗱𝘀:
✅ Audit your SDD — is every disclosure of UPSI actually logged in real time, or reconstructed after the fact? ✅ Revisit your Code of Conduct — does it reflect how UPSI actually flows in your organisation today? ✅ Calendar your training — annual isn't enough; build it into onboarding and key transaction windows. ✅ Extend the lens to fiduciaries — your legal counsel, auditors, and advisors are as much a part of this chain as your employees.
Governance isn't built in the boardroom alone — it's built in the everyday discipline of who talks to whom, and whether that conversation is on record.
