For Private Limited Companies with a 30 September AGM, the AOC-4 window is open right now. It closes around 29 October. The MGT-7/7A annual return follows within 60 days of the AGM.
In my 28+ years advising Promoters, Boards and CFOs, I've seen that the filing itself is rarely the problem. The problem is that a Key Managerial Personnel signs it without checking what sits behind it. Under Sections 92 and 137, "I relied on someone" is not a defence for the officer-in-default.
Here are the safeguards I'd insist on before any KMP signs:
1๏ธโฃ Reconcile before you file:
The AOC-4 financials must match the audited accounts, the Board's Report and the auditor's report, word for word.
2๏ธโฃ Check the dates:
The AGM date in MGT-7/7A must match the approved AOC-4 exactly.
3๏ธโฃ Verify the shareholder list:
Under the V3 portal's STP mode there is no resubmission, so a wrong list is hard to undo.
4๏ธโฃ Match the form to the company:
Small company thresholds changed on 1 Dec 2025 (โน10 crore paid-up capital and โน100 crore turnover), which moves many companies to MGT-7A.
5๏ธโฃ Check who signs:
The MD, CFO and CS DSCs must be valid, and any required professional certification must be in place.
6๏ธโฃ Keep the evidence:
Keep the SRN, challan and signed PDFs on file.
Also remember that the late fee under the Act is โน100 per day with no cap. Rectification requires adjudication. Three consecutive years of non-filing can lead to director disqualification under Section 164(2).
A signature on an MCA form is a personal assurance. Treat it that way.
